Regulated Industry Notice

1. What OrqestraX Is

OrqestraX (operated by Orqestra LLC, at orqestrax.com) is an ancillary business-to-business technology and compliance platform. It serves operators in a state-regulated industry — independently owned, state-licensed businesses such as producers, manufacturers, retail operators, brokers, and couriers — by providing software for listings, ordering, coordination, and recordkeeping between them. OrqestraX is available to verified, state-licensed operators only. It is not a consumer service and is not open to the general public.

2. State and Federal Legal Status

Some of the products that operators buy and sell through their accounts are lawful and licensed under the laws of the State of New Mexico, where these operators are regulated and where OrqestraX currently operates. However, certain of those same products may be classified as controlled or otherwise restricted under U.S. federal law.

This difference between state and federal law is a known feature of the regulated industry our users work in. OrqestraX is designed for operators who are licensed and acting in compliance with the laws of the state in which they are regulated. Nothing on the platform should be read as a statement that any particular product, transaction, or activity is lawful under federal law.

3. Orqestra Is Not a Party to Transactions

Orqestra LLC is an ancillary technology provider. We are not a party to any transaction that operators enter through the platform. Specifically, Orqestra LLC:

  • never takes title to, ownership of, or any legal interest in any product;
  • never takes physical possession, custody, or control of any product;
  • does not buy, sell, broker, transport, store, or handle any product; and
  • provides only software, coordination tools, and recordkeeping between independently licensed businesses.

Every transaction is solely between the licensed operators who enter it. They — not Orqestra LLC — are the buyer and the seller, and any transport or delivery is performed by a licensed operator or its contractor, not by Orqestra.

4. Each User Is Responsible for Its Own Compliance

Access to OrqestraX requires that you hold and maintain every license, permit, and registration applicable to your business. You alone are responsible for:

  • holding all licenses required for your operations and keeping them in good standing;
  • complying with all applicable state and federal laws, regulations, and the conditions of your licenses;
  • verifying the licensing and eligibility of any counterparty before you transact; and
  • maintaining the records, manifests, and filings your regulators require.

The tools OrqestraX provides are aids to your own compliance program. They do not replace your independent obligation to know and follow the law. Use of the platform does not transfer any of your compliance responsibility to Orqestra LLC.

Nothing on this page, in the platform, or in any related material is legal advice, and no attorney-client relationship is formed by your use of OrqestraX. Laws and regulations governing this industry change and differ by jurisdiction. You should consult your own qualified counsel about how the law applies to your specific business and activities.

6. Where We Operate

OrqestraX currently serves licensed operators in New Mexico only. References on the platform to compliance, licensing, and recordkeeping are framed around New Mexico requirements. If we expand to additional states, this notice will be updated to reflect the jurisdictions we then serve.

7. Related Policies

This notice should be read together with our Terms of Service and Privacy Policy. If there is any conflict between this notice and those documents on a point they specifically address, those documents control.
